Legal terms governing your use of BlackPapers platform and services

1. Acceptance of Terms

1.1. These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "You," "Your") and Tributaries Unicorn LLP, operating under the brand name BlackPapers ("Company," "We," "Us," "Our"), governing your access to and use of www.blackpapers.in ("Platform") and all related services.

1.2. By accessing, browsing, or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, Refund Policy, and Grievance Redressal Policy.

1.3. If you do not agree to any provision of these Terms, you must immediately discontinue use of the Platform.

1.4. We reserve the right to amend these Terms at any time. Updated Terms will be posted on this page with a revised "Last Revised" date. Your continued use after such changes constitutes acceptance.

2. Eligibility

2.1. You must be at least 18 years of age and legally competent to enter into a binding contract under the Indian Contract Act, 1872, to use the Platform.

2.2. If you are using the Platform on behalf of a business entity, you represent and warrant that you have the authority to bind such entity to these Terms.

2.3. We reserve the right to refuse service, terminate accounts, or cancel orders at our sole discretion if we believe you are in violation of these Terms or applicable law.

3. Description of Services

3.1. BlackPapers operates as a hybrid legal-tech marketplace that connects businesses, startups, and MSMEs with qualified professionals for compliance, taxation, legal, accounting, and financial services.

3.2. Our services include, but are not limited to:

  • Company Registration: Private Limited, LLP, OPC, Section 8, Partnership Firm, and Sole Proprietorship registrations.
  • Annual Compliances: ROC filings (MGT-7, AOC-4), Board Minutes, Annual Returns, and Statutory Audits.
  • Taxation Services: Income Tax Return (ITR) filing, GST registration & returns, TDS compliance, and Tax Audit.
  • Intellectual Property: Trademark registration, copyright filing, patent applications, and design registration.
  • Licensing: FSSAI, IEC, Drug License, NBFC, Payment Aggregator, RERA, and other sectoral licenses.
  • Legal Advisory: Founders' agreements, SHA/SSA drafting, ESOP structuring, and due diligence preparation.
  • Fundraising Support: Cap table management, valuation reports, CCPS issuance, and investor documentation.

3.3. BlackPapers acts as a facilitator and intermediary. The actual professional work (e.g., signing audit reports, certifying documents) may be performed by licensed professionals including Chartered Accountants, Company Secretaries, and Advocates who are independently regulated by their respective professional bodies (ICAI, ICSI, BCI).

4. User Account & Registration

4.1. To access certain services, you must create an account by providing accurate, complete, and current information.

4.2. You are solely responsible for maintaining the confidentiality of your account credentials (username, password, OTP). Any activity conducted through your account will be deemed to have been authorised by you.

4.3. You must immediately notify us at connect@blackpapers.in of any unauthorised access to or use of your account.

4.4. BlackPapers shall not be liable for any loss or damage arising from your failure to safeguard your account credentials.

5. User Obligations & Responsibilities

5.1. You agree to provide true, accurate, and complete information and documents as required for the services. Any penalties, fines, prosecution, or legal consequences arising from submission of false, forged, or misleading documents shall be your sole responsibility.

5.2. You must cooperate in a timely manner by providing requested documents, signatures, authorisations, and approvals. Failure to do so may result in delays or cancellation of services as per our Refund Policy.

5.3. You shall not use the Platform for any purpose that is unlawful, fraudulent, or prohibited by these Terms.

5.4. You agree NOT to:

  • Attempt to gain unauthorised access to any part of the Platform or its infrastructure.
  • Interfere with or disrupt the Platform's servers, networks, or security features.
  • Use automated bots, scrapers, or crawlers to extract data from the Platform.
  • Reverse-engineer, decompile, or disassemble any software or code on the Platform.
  • Upload viruses, malware, or any other malicious code.
  • Impersonate another person or misrepresent your affiliation with any entity.
  • Use the Platform to engage in money laundering, tax evasion, or any financial crime.

6. Payment Terms

6.1. All prices listed on the Platform are in Indian Rupees (INR) and are exclusive of applicable Goods & Services Tax (GST) unless explicitly stated otherwise.

6.2. Payment must be made in full at the time of placing the order, unless a specific instalment plan has been agreed upon in writing.

6.3. Payments are processed securely through our payment gateway partner, Razorpay. We accept UPI, Net Banking, Debit Cards, Credit Cards, and Wallets.

6.4. BlackPapers does not store your credit/debit card details. All payment data is handled by Razorpay in compliance with PCI-DSS standards.

6.5. In case of payment failure, your order will not be confirmed. You may retry payment or contact our support team for assistance.

6.6. BlackPapers reserves the right to revise pricing at any time. Price changes will not affect orders already confirmed and paid for.

7. Professional Disclaimer

7.1. No Attorney-Client Relationship: The information provided on this Platform (including blog articles, guides, calculators, and FAQ content) is for general informational and educational purposes only. It does not constitute legal, financial, or tax advice, and does not create a professional-client relationship.

7.2. Formal Engagement: A formal professional-client relationship is established only upon: (a) Execution of a service agreement or placement of a confirmed order; (b) Payment of the required professional fees; and (c) Assignment of the matter to a qualified professional.

7.3. No Guarantee of Outcome: While we employ our best efforts to ensure successful filing and registration, we do not guarantee approval by any government authority. Government decisions are at the sole discretion of the respective authority and are beyond our control.

7.4. Regulatory Changes: Laws, regulations, and government procedures change frequently. BlackPapers shall not be held liable for any adverse outcome resulting from regulatory changes that occur after the commencement of a service.

8. Intellectual Property Rights

8.1. All content on the Platform — including text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, software, and the compilation thereof — is the property of Tributaries Unicorn LLP and is protected by Indian and international copyright, trademark, and intellectual property laws.

8.2. The "BlackPapers" name, logo, taglines, and all related marks are trademarks of Tributaries Unicorn LLP. Unauthorised use is strictly prohibited and may result in legal action.

8.3. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for personal, non-commercial purposes only.

8.4. You may not reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any content from the Platform without prior written consent.

8.5. Blog articles and educational content may be shared on social media with proper attribution and a backlink to the original page. Bulk reproduction or republication is prohibited.

9. Confidentiality

9.1. BlackPapers acknowledges that in the course of providing services, we will have access to your confidential business and financial information ("Confidential Information").

9.2. We undertake to maintain strict confidentiality of all Confidential Information and shall not disclose it to any third party except: (a) To our authorised professional partners for service execution; (b) To government authorities as required for statutory filings; (c) As required by law, court order, or regulatory directive.

9.3. This confidentiality obligation shall survive the termination of the service engagement for a period of 5 (five) years.

10. Limitation of Liability

10.1. To the maximum extent permitted by applicable law, BlackPapers and its directors, partners, employees, agents, and professional partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of business opportunity, or loss of goodwill.

10.2. Our total aggregate liability for any claim arising out of or relating to these Terms or the services shall not exceed the total professional fees actually paid by you for the specific service giving rise to the claim.

10.3. BlackPapers shall not be liable for: (a) Delays caused by government portal downtime or processing backlogs; (b) Rejection of applications by any government authority; (c) Losses arising from inaccurate information provided by the User; (d) Third-party acts, including banking or payment processing failures.

10.4. Nothing in these Terms shall exclude or limit liability for fraud, wilful misconduct, or any liability that cannot be excluded under applicable law.

11. Indemnification

11.1. You agree to indemnify, defend, and hold harmless BlackPapers, its partners, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from:

  • Your violation of these Terms or any applicable law.
  • Your submission of false, fraudulent, or misleading documents or information.
  • Any third-party claim arising from your use of the services.
  • Your infringement of any intellectual property or other rights of any person or entity.

12. Third-Party Links & Services

12.1. The Platform may contain links to third-party websites, portals, or services (e.g., MCA portal, GSTN, Income Tax e-Filing) that are not operated or controlled by BlackPapers.

12.2. We do not endorse, guarantee, or assume responsibility for the content, privacy practices, or functionality of any third-party websites.

12.3. Your interactions with third-party websites are governed by their respective terms and policies. We encourage you to review them before engaging.

13. Force Majeure

13.1. BlackPapers shall not be liable for any failure or delay in performing its obligations under these Terms if such failure or delay results from circumstances beyond our reasonable control, including but not limited to:

  • Natural disasters (floods, earthquakes, epidemics, pandemics).
  • Acts of government (new regulations, lockdowns, embargoes, sanctions).
  • War, terrorism, civil unrest, or strikes.
  • Failure of telecommunications, internet, or power infrastructure.
  • Cyberattacks, hacking, or systemic software failures.
  • Government portal outages or prolonged downtime (MCA, GSTN, IT portals).

14. Termination

14.1. BlackPapers may terminate or suspend your account and access to the Platform immediately, without prior notice, if: (a) You breach any provision of these Terms; (b) We are required to do so by law; (c) We decide to discontinue the Platform or any service.

14.2. Upon termination: (a) Your right to access the Platform ceases immediately; (b) We may delete your account data after the expiry of the retention period specified in our Privacy Policy; (c) Clauses that by their nature should survive termination (including Confidentiality, Limitation of Liability, Indemnification, and Governing Law) shall continue to apply.

15. Dispute Resolution & Arbitration

15.1. In the event of any dispute arising out of or in connection with these Terms, both parties shall first attempt to resolve the matter amicably through good-faith negotiation for a period of 30 days.

15.2. If the dispute is not resolved through negotiation, it shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996, as amended.

15.3. The arbitration shall be conducted by a sole arbitrator mutually appointed by the parties. The seat of arbitration shall be New Delhi, India. The language of arbitration shall be English.

15.4. The arbitrator's decision shall be final and binding on both parties. Each party shall bear its own costs of arbitration unless the arbitrator directs otherwise.

16. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity shall not affect the remaining provisions, which shall continue in full force and effect.

17. Waiver

No failure or delay by BlackPapers in exercising any right or remedy under these Terms shall constitute a waiver of such right or remedy. A waiver of any right on one occasion shall not be construed as a waiver of that right on any subsequent occasion.

18. Entire Agreement

These Terms, together with the Privacy Policy, Refund Policy, and Grievance Redressal Policy, constitute the entire agreement between you and BlackPapers with respect to the use of the Platform and supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written.

19. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Subject to Clause 15 (Arbitration), any disputes shall be subject to the exclusive jurisdiction of the courts in New Delhi, India.
